In an asset-only purchase, you need to be assured that you are obtaining good title to the assets, among other matters. These transactions are more complicated because every asset or liability being transferred needs to be specifically detailed and accounted for in the transaction.

Stock Purchases

When purchasing shares of stock of a corporation, every aspect of the company - including all of the assets and all obligations of the company - are transferred in the transaction. These transactions are generally simpler than asset-only purchases, but they bring complications of their own, especially when dealing with privately held entities.
